MANAGEMENT SUCCESSION POLICY
EPB Employees Credit Union

In the event of a prolonged absence of the manager, the Directors of this Credit Union intend that the Manager will be succeeded by the Assistant Manager as Acting Manager. To achieve a smooth and complete transition, the following plan will be used:

  1. Day-to-day Duties
    1. The Manager will maintain a current list of day-to-day duties which can be used as both a cross-training guide and check-off list. The Manager and Assistant Manager will use this list to make sure that these duties can be performed by the Assistant Manager or some trained person.

    2. The Personnel Committee will determine a timetable for the completion of training associated with the items on the day-to-day duties list. The Manager and Assistant Manager will determine who will be trained for each duty.

    3. The Personnel Committee will meet with the Assistant Manager at least once each calendar quarter to review the status of cross-training of the Manager's day-to-day duties.

  1. Management's Goals and Directives.
    1. The Personnel Committee will meet with the Assistant Manager (when the Assistant Manager becomes Acting Manager) to determine that the short and long range goals and objectives of the credit union have been properly conveyed, and to assure that the Acting Manager will continue to work toward those goals and objectives.

    2. The Acting Manager will report to the Personnel Committee any major changes to or deviations from the day-to-day duties list.

DAY-TO-DAY DUTIES LIST

  1. Staffing requirements:

  2. Be sure enough key staff will be available to cover daily operations. This includes a possible shifting of normal duties and/or calling upon part-time help.

  3. Payroll:
    1. Maintain payroll records including vacation/sick days used.
    2. Prepare paychecks based on hours worked/salary.
    3. ** Blank at this time.
  1. Member Certificates:
    1. Know all facets of certificate preparation, interest rates and interest calculations.
    2. Maintain proper records for member certificates. Prepare members' certificates of deposit. Ascertain how the member wishes to receive interest.
  1. Member Loans:
    1. Know all facets of loan documentation, interest rates and interest calculations.
    2. Be prepared to correctly answer any member questions regarding the credit union's loan program.
    3. Monitor loan delinquency and use prudent efforts to prevent delinquency growth.
    4. Quickly act upon any collections. Continue to monitor current problems to assure proper follow-up.
  1. Rate Changes Notification:

  2. Know when to change rates and pay deposits and when to change loan rates. Be sure that Board approval is already obtained when necessary.

  3. Board Meetings:

  4. Attend board meetings and be able to answer possible questions. Have any recommendations for board approval already prepared (charge-offs, policy changes, etc.).

  5. Personnel Committee Meetings:

  6. Be prepared to meet with the Personnel Committee regarding any personnel decisions. Also, meet at least once a calendar quarter to update committee on status of management succession.

  7. Chapter/League/State/NCUA obligations.

  8. Make sure Credit Union has fulfilled any obligations to the Chattanooga Chapter of Credit Unions, the Tennessee Credit Union League, the Tennessee Department of Financial Institutions and the National Credit Union Administration. This may include but not be limited to: audit responses, survey/report information, attendance at meetings, other notifications, etc.
